About these terms
These terms govern your use of the Waterfalls.app website and any related services operated by Jérôme Bestel ("the operator", "we", "us"). By using the site you agree to these terms. If you don't agree, please don't use the site.
The service
Waterfalls.app is an exit waterfall and cap-table modeling tool. The public website provides educational content, a private beta application form, and information about the product. The application itself is in private beta and access is granted on an invitation basis.
Acceptable use
You agree not to:
- Use the site for any unlawful purpose or in violation of these terms.
- Attempt to access, probe, or test the vulnerability of the site or its systems without permission.
- Scrape, crawl, or copy content from the site beyond what is necessary for fair-use review.
- Submit false information through the contact form or beta application.
- Use the site to send spam, phishing, or malicious content.
- Interfere with the operation of the site or its users.
Educational content disclaimer
The articles in the learning center are provided for general educational purposes only. They are not legal, tax, accounting, or investment advice, and they should not be relied on as such. The mechanics described — including discussions of equity instruments, tax provisions like Section 1202 (QSBS), and waterfall calculations — are simplified for clarity and may not apply to your specific situation. Always consult a qualified professional before making decisions based on the content.
Beta program
Access to the private beta is granted at the operator's discretion. Beta access can be revoked at any time, and the application itself may change, be paused, or be discontinued. Beta users acknowledge that the software is under active development and may contain errors or incomplete functionality.
Outputs from the application are mathematical model results based on the inputs you provide. They are not certified financial statements, valuations, or audit-quality figures. The operator does not warrant the accuracy of any specific output for any specific purpose.
Intellectual property
The Waterfalls.app website, brand, content, and software are the intellectual property of the operator unless explicitly attributed otherwise. You may quote and link to articles in the learning center for non-commercial use with attribution. All other rights are reserved.
User content
When you submit content via the contact form or beta application, you grant the operator a non-exclusive license to use that content for the purpose of operating the service (responding to your message, evaluating your application, improving the product). You retain ownership of your content.
Termination
The operator may terminate or restrict your access to the site or the beta at any time, with or without notice, for any reason — including violation of these terms. The provisions that by their nature should survive termination (intellectual property, disclaimers, liability limits, governing law) will do so.
Disclaimer of warranties
The site and any related services are provided "as is" and "as available", without warranties of any kind, express or implied — including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. The operator does not warrant that the site will be uninterrupted, error-free, or secure.
Limitation of liability
To the maximum extent permitted by applicable law, the operator's aggregate liability arising out of or relating to your use of the site or any related service shall not exceed the greater of (a) the amount you've paid to the operator in the twelve months preceding the claim, or (b) one hundred (100) US dollars.
In no event shall the operator be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to the site or these terms.
Indemnification
You agree to indemnify and hold the operator harmless from any claims arising out of your use of the site, your violation of these terms, or your violation of any third-party rights.
Governing law
These terms are governed by the laws of France, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the competent French courts, except where mandatory consumer-protection law provides otherwise.
